Standard Terms and Conditions

1. Scope and Contractual Partners

These General Terms and Conditions (GTC) apply to all business relations between DUOCOMP GmbH, Buchenberger Str. 14, 87448 Waltenhofen (Germany) (hereinafter referred to as "Seller") and our customers (hereinafter referred to as "Buyer"), provided that the Buyer is an entrepreneur pursuant to Section 14 of the German Civil Code (BGB), a legal entity under public law, or a special fund under public law. These GTC apply exclusively; we do not recognize any terms and conditions of the Buyer that conflict with or deviate from our GTC, unless we have expressly agreed to their validity in writing.

2. Conclusion of Contract

  • The presentation of products in the online store does not constitute a legally binding offer, but rather a non-binding online catalog.

  • By clicking the button [“Place Binding Order” / “Submit Binding Request”], the Buyer makes a binding offer. The contract is concluded when we accept the order by sending an order confirmation via email or by delivering the goods.

3. Prices and Terms of Payment

  • All prices quoted are net prices and exclude statutory Value Added Tax (VAT) as well as any applicable shipping, packaging, and handling costs, unless explicitly agreed otherwise.

  • Unless agreed otherwise, invoices are due for payment net within [e.g., 14 days] of the invoice date.

4. Delivery and Passing of Risk

  • Deliveries are made ex-warehouse to the delivery address specified by the Buyer.

  • The risk of accidental loss and accidental deterioration of the goods passes to the Buyer upon handover to the commissioned transport company (forwarding agent or courier service).

5. Retention of Title

  • The delivered goods shall remain our property until full settlement of all claims arising from the business relationship.

6. Warranty for Defects

  • For entrepreneurs, the limitation period for claims for defects in newly manufactured goods is one year from the passing of risk.

  • The Buyer must inspect the goods immediately upon delivery and notify us of any recognizable defects in writing without delay.

7. Place of Performance and Jurisdiction

  • The place of performance and exclusive place of jurisdiction for all disputes arising from this contract is our registered office [Your Company Location], provided that the Buyer is a merchant, a legal entity under public law, or a special fund under public law.
